About This Course:
This webinar will provide tax advisors and real estate counsel with a review of the various organizational, operational, and federal tax requirements that must be met by real estate investment trusts (REITs), and will address the reasons for and the difficulties surmounted in recent conversions to REIT status by several public companies.


As the REIT market continues to expand, tax advisors and real estate counsel are increasingly called upon to advise on transactions involving REITs. Counsel must prepare to address the tax and legal challenges while assisting their clients in confronting and managing the attendant risks.

REITs must satisfy complex IRS requirements regarding the organization of the entity, its income, assets and distribution of income, and its ownership base. REITs also enjoy tax advantages, such as no entity level tax and the ability to attract tax-exempt and foreign investors. Tax-exempt investors and sovereign wealth funds can reduce or eliminate the tax they would otherwise pay when investing in U.S. real estate.

Counsel should understand key issues, including rules for REIT subsidiaries (QRSs and TRSs) and UPREIT structures, and special rules for REITs that own partnership and LLC interests.

Mr. Bloomfield is a tax attorney whose practice emphasizes financial products. He has extensive experience on tax issues relating to hedge and private equity funds, and swaps and derivatives, among other financial products. He serves on the American Bar Association's Financial Transactions Committee and is the co-author of a widely used REIT book.

Stroock & Stroock & Lavan, New York

Mr. Greenberg provides advice to domestic and foreign investors on tax implications of joint ventures, mergers, reorganizations, restructurings, and portfolio investments. He has particular experience in transactions involving real estate and energy-related assets. He advises REITs and clients with tax-exempt or other special status regarding tax consequences of investment strategies and other activities.
